Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KiteGuard platform, websites, agents, APIs, and related services (collectively, the "Service"), operated by Codprez Softwares ("Codprez", "we", "us", or "our").

By creating an account, installing the agent, or otherwise accessing the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, you must not use the Service.

KiteGuard provides security-focused monitoring and protection for servers and infrastructure, including threat detection, security monitoring, infrastructure observability, uptime monitoring, and alerting. Features available to you depend on the subscription plan you select.

We may add, modify, or discontinue features over time to improve the Service. Where a change materially reduces functionality of a paid plan, we will make reasonable efforts to notify you in advance.

To use most features of the Service you must register for an account and provide accurate, complete information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must notify us promptly at info@codprez.com if you suspect any unauthorized use of your account. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.

You agree to use the Service only for lawful purposes and only on systems you own or are authorized to monitor. You are solely responsible for the configuration of your servers, the data you submit, and your compliance with all applicable laws and regulations.

You agree not to:

• Use the Service to monitor, scan, or attack infrastructure you do not own or lack authorization to access;
• Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan;
• Interfere with, disrupt, or place undue load on the Service or its infrastructure;
• Upload malicious code, or use the Service to transmit unlawful, infringing, or harmful content.

Paid plans are billed on a recurring subscription basis. Billing, payment processing, and invoicing are handled securely through our authorized payment provider. By subscribing to a paid plan, you authorize us and our payment provider to charge the applicable fees to your selected payment method.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Fees are stated in US Dollars and exclude taxes, which are calculated at checkout where applicable. Except as required by law or as described in our Refund Policy, fees already paid are non-refundable. We may change our prices with reasonable advance notice; changes apply from your next billing cycle.

You may cancel your subscription or close your account at any time from your account settings. Upon cancellation, your plan remains active until the end of the current billing period and will not renew thereafter.

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, or use the Service in a manner that risks harm to us, other users, or third parties. Following termination, we may delete your data in accordance with our Privacy Policy and applicable retention periods.

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our reasonable control.

Any service level commitments, where offered, are described in a separate agreement applicable to Enterprise plans. Except as expressly stated in such an agreement, the Service is provided without an availability guarantee.

The Service, including its software, design, and content, is owned by Codprez Softwares and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms and your plan.

You retain all rights to the data you submit to the Service. You grant us a limited license to process that data solely to provide and improve the Service, as described in our Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will detect every threat, prevent every incident, or meet all of your requirements.

To the maximum extent permitted by law, Codprez Softwares and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
